NIBE Industrier AB has through its subsidiary Backer BHV, signed an agreement to acquire ASKOMA AG in Switzerland. ASKOMA will become a part of the Backer group inside the NIBE Element business area.
ASKOMA has operations in Bützberg, Switzerland and Johor Bahru, Malaysia. The company was founded 1967 and has now annual sales of approximately MCHF 7.2 (MSEK 55) with an EBIT-margin above 10%. ASKOMA has 26 employees in Switzerland and 17 employees in Malaysia.
The product assortment consists mainly of components and solutions for heating, control and measurement for the energy market. The company also offers contract manufacturing specifically for the energy market.
“The acquisition of ASKOMA will further strengthen the position of NIBE Element as a supplier of solutions in sustainable energy“, says Gerteric Lindquist, Group CEO of NIBE Industrier AB.
“The Malaysian part of ASKOMA will also open up for production within the Group in an additional country in Asia besides our existing plants in China. This is very interesting both from a production as well as a market point of view”.
ASKOMA will be consolidated into the NIBE Group as of today´s date.

Today’s interim report from NIBE shows an increase in both sales and profit.
“The first nine months of the year have seen continued positive development owing to our systematic work with product development, a focus on costs and marketing initiatives,” says NIBE’s Group CEO, Gerteric Lindquist.
“Although both sales and profit have improved, we have experienced varying levels of demand during the year, which in turn reflects fluctuating economic conditions.
“We have now taken a significant step into the North American heat pump market through the acquisitions of WaterFurnace Renewable Energy Inc and the remaining 90% of Enertech Global LLC. These companies have combined sales totalling just over SEK 1 billion and provide us with an excellent platform for further expansion.
“We believe our full-year earnings will exceed last year’s by a healthy margin despite economic variations around the world, with a weak trend in Europe and a relatively robust performance in North America and Asia,” says Gerteric Lindquist.

NIBE Industrier AB (publ) has utilised its call option to acquire the remaining 90% of the interests in the North American heat pump firm Enertech Global LLC. NIBE acquired the first 10% of the interests in the company in November 2011, thereby taking an initial step into the North American heat pump market.
“For NIBE Energy System’s continued expansion in North America, the acquisition of the remaining interests in Enertech is a logical step after we acquired North American firm WaterFurnace Renewable Energy, Inc. earlier this year,” says Gerteric Lindquist, Group CEO of NIBE Industrier AB.
“Enertech will continue to be run as a separate company by the current management, with their own product development, production and sales operations. The synergy gains from the other units within the Group are to be found primarily in the area of material supply”.
Enertech Global LLC, which has operations in Greenville, Illinois, and in Mitchell, South Dakota, was founded in 1996 and now has sales of around USD 33 million (approx. SEK 245 million), with an operating margin of approximately 10%. Enertech’s product portfolio consists mainly of geothermal heat pumps.

Today’s interim report from NIBE shows both increased sales and profit.
"We had a positive first six months of 2014, increasing both sales and profit, which was largely due to successful product development and a continued significant focus on costs," said NIBE Group CEO Gerteric Lindquist.
“The first half of the year has seen varying demand. Although demand was good in the first quarter, it was relatively weak in the first half of the second quarter but recovered once again in the latter part of the quarter. This reflects the fragile economic recovery.”
"Acquisition activity has been high, dominated by the conditional agreement to purchase US-based WaterFurnace Renewable Energy Inc. The company, which has annual sales of approximately SEK 800 million and an operating margin of around 17%, is one of the leading heat pump producers in North America. Our hope is that we will be able to complete the transaction by the end of August."

Markaryd, Sweden and Fort Wayne, IN, USA – August 14, 2014 – WaterFurnace Renewable Energy, Inc. ("WaterFurnace") (TSX: WFI; TSX: WFI.U) and NIBE Industrier AB (publ) of Sweden ("NIBE"), as previously announced, had entered into an arrangement agreement dated June 22, 2014 (as amended on July 14, 2014, the "Arrangement Agreement") pursuant to which NIBE, through its wholly-owned subsidiary, NIBE Energy Systems Canada Corp., will acquire 100% of the outstanding common shares of WaterFurnace (the "WaterFurnace Shares"). The consummation of the transaction contemplated by the Arrangement Agreement (the "Arrangement") was conditioned upon the parties filing required information and documentary material pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), and the expiration or termination of the applicable waiting period thereunder. WaterFurnace and NIBE are pleased to announce that the applicable waiting period under the HSR Act expired. Closing of the Arrangement is not subject to any other antitrust conditions.
The completion of the Arrangement remains subject to the approval of at least two-thirds of the votes cast by WaterFurnace shareholders at a special meeting of WaterFurnace shareholders to consider the Arrangement, which will be held on August 18, 2014. Completion of the Arrangement is further subject to the approval of the Ontario Superior Court of Justice, the receipt of all third party approvals, and other customary conditions as described in the management information circular of WaterFurnace dated July 16, 2014, which is available under WaterFurnace's issuer profile on SEDAR at www.sedar.com.
The parties expect closing of the Arrangement to occur by the end of August 2014.

Today’s quarterly report from NIBE shows both increased sales and profit.
"We have had a positive start to 2014, both in terms of sales and profit, and this has been due in part to a combination of improvements in the market and the success of a large number of new products. It is also worth noting that we are comparing our performance with a weak first quarter in 2013 and that we have been helped to some extent by the weaker Swedish krona," said NIBE’s Group CEO Gerteric Lindquist.

NIBE are proud to announce the success of their annual VIP installer conference, with key industry speakers and an interesting insight into the recent RHI launch.
Following the launch of the domestic Renewable Heat Incentive (RHI), NIBE has extended the warranty on key products across its heat pump and biomass ranges to seven years. The new industry-leading warranty period was unveiled at NIBE’s VIP installer conference, alongside other new developments including an interactive online RHI payment calculator and an attractive loyalty scheme for installers.
Phil Hurley, managing director at NIBE, says: "Now that the domestic RHI has launched, our heat pump and biomass warranties match its seven-year payments window. This means homeowners choosing a NIBE VIP Installer to fit their air source or ground source heat pump or biomass boiler can not only confidently rely on RHI tariff payments for the next seven years, but also on long-term system performance and the highest-quality installation.
"As the RHI rolls out, ensuring correct specification, design, installation and maintenance of renewables will remain integral for this technology to deliver the results it is truly capable of in the UK. The installer workforce is at the heart of this, and at NIBE we want to ensure that our network of accredited VIPs are in the best possible position to respond to rising demand and competition."
The extended warranty applies to all parts and labour for NIBE F2040 and F2300 air source heat pump systems, NIBE F1145, F1245 and F1345 ground source heat pumps systems and NIBE Pellux 100 and Vedex 3300 biomass boilers. These must have been commissioned by a NIBE VIP installer (subject to annual servicing and completion of Benchmark quality assurance documents).
As part of its ongoing commitment to providing VIP Installers with all the tools they need to educate their customers about the benefits of swapping to renewable heat, NIBE also unveiled a new-look website at the conference. This features a series of tools to help homeowners find out more about the RHI and NIBE’s VIP Installer scheme – including an interactive cost savings and RHI payments calculator and a Find a local installer search function. The conference, which brought together around 100 accredited installers, also saw the launch of NIBE Krona, an online loyalty rewards scheme exclusive to NIBE VIPs.
The VIP Installer programme is open to MCS-accredited installers who have completed NIBE product training at both foundation and intermediate level, and have signed up to NIBE’s strict code of practice. The domestic Heat Incentive (RHI) launched, offering homeowners payments to offset the cost of installing low carbon systems
A new and innovative Government scheme launched today will pay people for the green heat they generate for their homes.
The domestic Renewable Heat Incentive (RHI) is the world’s first long-term financial support programme for renewable heat, offering homeowners payments to offset the cost of installing low carbon systems in their properties.
The scheme is open to everyone – home owners, social and private landlords, and people who build their own homes. It is available to households both on and off the gas grid.

The technologies currently covered by the scheme are:
Air to water heat pumps, which absorb heat from the outside air. This heat can then be used to provide heating and/or hot water in a home.

Only one space heating system is allowed per property but homeowners can apply for solar thermal for hot water and a space heating system.
The guaranteed payments are made quarterly over seven years for households in England, Wales and Scotland. (Northern Ireland has its own RHI scheme). The scheme is designed to bridge the gap between the cost of fossil fuel heat sources and renewable heat alternatives.
The Renewable Energy Association (REA) has already backed the scheme, and says its introduction could make 2014 a breakthrough year for renewable heating.

Leading renewable heating manufacturer NIBE has thanked the Department of Energy & Climate Change (DECC) following today’s domestic Renewable Heat Incentive (RHI) launch – hailing the scheme as a huge confidence boost for the industry.

Now, in addition to its long-standing partnership with Plumbing Trade Supplies (PTS), NIBE’s full range of market-leading heat pumps, biomass boilers and solar thermal systems will also be available from Travis Perkins, City Plumbing Supplies, Solfex Energy Systems and BSS outlets across the UK.

As well as bolstering its distribution network, NIBE also continues to strengthen its portfolio of pioneering heating and ventilation solutions, offering ‘A World of Possibilities’ to its customers. In addition to its recently launched F2040 air source heat pump package (with intelligent control systems and Megacoil hot water cylinders), NIBE has also enhanced the performance and usability of its market-leading F1145 and F1245 ground source heat pumps. This extension was announced by Energy and Climate Change Minister Greg Barker during a visit to Grant Engineering UK in Devizes, Wiltshire.
The scheme, which includes an apprenticeship initiative, has been in high demand from heating engineers and apprentices alike.
Based on the early indications of interest and the number of vouchers already issued, the Department of Energy and Climate Change (DECC) has decided to increase the funding for the scheme in order to further bolster the supply chain in the run up to the launch of the domestic renewable heat incentive.
Giving consumers and installers reliable information is an important part of helping them make decisions about their heating system. With the launch of the domestic renewable heat incentive imminent, it is an important time to ensure that consumers have a range of installers to consult, and that these installers are trained to the very latest standards.
Energy and Climate Change Minister Greg Barker said:
“Today’s announcement is a positive reflection on the industry’s enthusiasm for the government’s push towards renewable heating. I am delighted to announce this additional funding, which should be taken as yet another sign of DECC’s commitment to renewable heating and the imminent arrival of the domestic RHI this spring. By incorporating renewable heating into the businesses of many off-gas grid installers, consumers unsure about their next heating system will be able to more easily access knowledgeable, trusted sources of advice in their home.”
Paul Wakefield, managing director of Grant Engineering UK, said:
“We have seen a really good uptake in vouchers at our centre here in Devizes and in the North so welcome the announcement by the Minister today.
“We are excited to be launching our new Vectra domestic biomass condensing pellet boiler at Ecobuild in March and, alongside the boiler, we will be launching nationally recognised pellet appliance training at the same time.”
Griff Thomas of GTEC Training Ltd, which is administering the scheme, said:
“We are delighted that the uptake in vouchers has been so positive and we have seen some great feedback from the industry already, we think the additional funding will make sure that the scheme delivers all of its objectives”
NIBE reports an increase in both sales and profit in the company's year-end report for 2013, published today.
"Our market assessments for 2013 were based on the belief that the economy
would remain weak but would bottom out at some point during the second half of
the year. Against this background our aim, despite the situation, was to
improve our earnings by increasing our margins," comments NIBE's Group CEO
Gerteric Lindquist.
"The healthy earnings trend is primarily due to methodical efforts to adapt our
fixed costs, generate considerable flexibility in production capacity and
continue to improve productivity.
"Our financial position leaves us well-equipped for further acquisitions, while
a persistently high pace of product development and strong market presence
create the perfect conditions for organic growth, particularly since the
economy now appears to be heading, albeit tentatively, in the right direction.
"As always it's difficult to make firm predictions about the future, but we
feel able to look ahead with confidence," says Gerteric Lindquist.
NIBE Industrier AB has signed an agreement to acquire the sales operations of Technibel SAS in France. The acquired sales operations will become part of the NIBE Energy Systems business area.
Technibel, located just outside Lyon was founded in 1958, has 25 employees within its sales operations and generates sales of about EUR 12 million (around SEK 105 million).
Technibel is a well-established brand in France and is known for its climate control products and heat pumps.
“The French heat pump market is one of the largest in Europe, and Technibel has experienced both the upturn in 2004–2009 and the subsequent downturn. The company struggled in the downturn, but has now adapted its total costs to demand,” says Gerteric Lindquist, CEO and MD of NIBE Industrier AB.
“Technibel’s sales operations will be coordinated with NIBE’s French company, giving us a broader product offering with three brands and a sales organisation that covers all of France. Together we will be able to become a strong player now that the market has stabilised and started moving in the right direction again.”
The operations will be consolidated into the NIBE Group as of today’s date.
